Structuring
Corporate creation and structuring that matches how you operate
New entities and reorganizations with clean share structure and paperwork the registry and CRA will recognize.
Situations that land here
Standing up a new Canadian company and wanting ownership, directors, and the minute book done cleanly the first time. Share classes or voting rights that no longer match how the business runs. A planned amalgamation, wind-up path, or internal reshuffle that needs resolutions and filings in a sensible order.
Registry records, the minute book, and what CRA will later see should tell the same story. If they don’t, cleanup gets expensive.
What the work looks like
You outline what you’re creating or changing and why. We confirm this is structuring — not recovery, not a dispute. Then we pull ownership today, intended ownership, provinces involved, and any hard date.
You get a short set of workable paths with trade-offs in plain language. After that: resolutions, agreements, and filing support sequenced so registry and tax paper stay consistent. Close-out says what was filed, what sits in the minute book, and what you still own as housekeeping.
Wrong page? Live CRA letter or assessment → CRA representation. Cash or creditors forcing the move → recovery & restructuring. Using an existing stack across the year (salary, dividends, timing) → corporate tax planning. Those often sit beside this work; they aren’t the same clock.
Do you incorporate end-to-end?
We support structure choices and the documentation package. Who files what — and when counsel is required — is confirmed at engagement.
Will this cut my tax?
Structure can change how income and extraction land. We don’t promise a dollar result. We aim for a setup you can explain and document.
What belongs in the first note?
What you want to create or change, current ownership in plain language, province(s), any hard date. Ledgers and identifiers wait.
